These terms summarize how The Talent Foundation delivers advisory, training, and related professional services. Full contractual terms should be confirmed in a proposal, statement of work, or order form.
Scope
Services may include consulting, workshops, training, recruiting support, strategy work, research, and related enablement activities as defined in the applicable engagement documents.
Fees and payment
Fees, billing schedules, and reimbursable expenses are set in the governing proposal, SOW, or order form. Payment obligations are not contingent on downstream business outcomes unless explicitly stated.
Intellectual property
Each party retains ownership of its pre-existing materials. Deliverables and usage rights are governed by the engagement terms. Training materials and frameworks may be licensed for internal use rather than transferred outright.
Confidentiality
Both parties are expected to protect confidential business, candidate, employee, customer, and operational information disclosed during the engagement.
Liability and governing law
Liability is limited as set out in the operative commercial agreement. The current draft terms are governed by the laws of the State of Washington.
